1. Introduction

This document constitutes the Terms of Service ("Terms") governing the use of Defyd's platforms, including the website defyd.com ("Website") and application defyd.app ("Application"), owned and operated by Defyd India Private Limited ("Defyd", "we", "our", or "us"). By accessing or using the Website or App (collectively, the "Platform"), you agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using the Platform.
1.2 Electronic Record
This electronic record is generated by a computer system and does not require any physical or digital signatures, as per the Information Technology Act, 2000.
1.3 Amendments
We may modify these Terms at any time without prior notice. Changes will be effective immediately upon posting. Continued use of the Platform after any such changes constitutes your acceptance of the new Terms. Please review these Terms periodically.
2. Services Provided
Defyd offers professional real estate consulting services, including but not limited to:
- Property Identification: Assisting in finding properties through technical research and analysis.
- Transactional Support: Offering support during site visits, pricing, and inventory negotiations.
- Financial & Administrative Support: Assistance with mortgage services, financial services, and administrative support.
- Product Portfolio: Providing various property types, including residential, commercial, and global projects.
- Portfolio Structuring & Management: Helping clients diversify real estate portfolios globally.
- Service for Life: Providing a dedicated relationship manager throughout the investment journey.
3. Eligibility
By using our Platform, you represent and warrant that you are legally competent to enter into binding contracts under the Indian Contract Act, 1872. If you are not competent to contract under this Act, you may not use our services.
4. Term
These Terms remain in effect as long as you use the Platform or until any transaction between you and Defyd is completed to the satisfaction of both parties, whichever is later.
5. Termination
Defyd reserves the right to terminate or suspend your access to the Platform at any time, without notice, for any reason. This includes, but is not limited to, violations of these Terms or our Privacy Policy.
6. Platform Use
The Platform serves as an online service offering advice and recommendations for real estate properties globally. Defyd does not own or sell the properties listed and is not responsible for transactions between users and third parties.
7. Communications
By using our Platform and providing your contact information, you consent to receive communications from us, including calls, automated messages, emails, and SMS. You can opt-out by emailing us at connect@defyd.com with the subject "Opt-Out."
8. Intellectual Property
All content on the Platform, including text, graphics, logos, images, and software, is the property of Defyd or its content suppliers and is protected by applicable copyright laws. Unauthorized use is prohibited.
9. Privacy Policy
Our Privacy Policy governs the collection and use of your personal information. By using the Platform, you consent to the collection and use of your information as outlined in our Privacy Policy.
10. Payment and Fees
Certain services on the Platform may require payment. You agree to pay all applicable fees and charges as per the billing terms in effect at the time of your purchase. All payments are non-refundable unless stated otherwise.
11. User Obligations
When using the Platform, you agree to the following:

We may limit or suspend your access to the Platform without notice if you breach any of these Terms, provide false information, or engage in activities causing harm or loss.
14. Indemnity and Limitations
You agree to indemnify and hold Defyd harmless from any claims or damages arising from your use of the Platform. Our liability is limited to the maximum extent permitted by law, and we are not liable for any indirect, incidental, or consequential damages.
15. Intellectual Property Rights
Defyd retains all rights to the intellectual property on the Platform. Unauthorized use of our intellectual property is prohibited and may result in legal action.
16. Disclaimer of Warranties and Liabilities
The Platform is provided on an "as-is" basis without warranties of any kind. You use the Platform at your own risk, and we are not liable for any damages arising from your use or inability to use the Platform.
17. Submissions
Any content you submit to the Platform grants Defyd a perpetual, non-exclusive, royalty-free license to use, reproduce, and distribute such content.
18. Dispute Resolution and Jurisdiction
Disputes will be resolved through mediation or, if necessary, arbitration in Hyderabad, India, under Indian law. The courts in Hyderabad have exclusive jurisdiction over any disputes.
19. Notices
Communications regarding disputes or grievances must be sent in writing to our registered office by registered post.
20. Miscellaneous Provisions
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Defyd.
- Waiver: Our failure to enforce any part of these Terms does not constitute a waiver of our right to enforce it later.
- Severability: If any provision of these Terms is found invalid, the remaining provisions will remain in effect.
